Terms of Service

1. Who we are

These Terms of Service ("Terms") are a binding agreement between you and Tool Tackle LLC, a limited liability company doing business as "Pinch Estimating" ("Pinch Estimating," "we," "us," or "our"). They govern your access to and use of the website at pinchestimating.net and pinchestimating.com, our project dispatch software, related dashboards, communications, and any other services we provide (collectively, the "Service").

By creating an account, accepting a project offer, submitting an estimate, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Pinch Estimating operates a project intake and dispatch platform for construction takeoff and estimating work. Contractors, developers, architects, and other prospective clients ("Clients") submit projects through our intake portal. Our internal admins ("Admins") review each submission, send a flat-fee quote and a secure Stripe payment link, and — once payment is confirmed — dispatch the project to vetted freelance estimators ("Estimators"), collect completed deliverables, and manage estimator payout workflows (including via third-party processors such as Found and Wise). Visitors and prospective customers may also interact with marketing pages, lead forms, and informational content.

Pinch Estimating provides the technology and dispatch workflow. Estimators are independent contractors and are solely responsible for the accuracy, completeness, and timeliness of their estimating work. We are not a party to any downstream construction contract between an end client and a contractor or Estimator.

3. Eligibility and accounts

  • You must be at least 18 years old and able to enter into a binding contract.
  • You must provide accurate, current, and complete information at signup and keep it updated, including your trades, software stack, contact info, and payout details.
  • You must provide a valid mailing address as part of your Estimator profile. The required fields adapt to the country you select (e.g., state and ZIP code in the U.S., province and postal code in Canada, county and postcode in the U.K., state and PIN code in India).
  • You are responsible for safeguarding your login credentials and for all activity under your account.
  • We may refuse, suspend, or terminate any account at our discretion, with or without notice, including for breach of these Terms, fraud, abuse, low quality, or non-payment.

Client accounts. To submit a project through "Upload Plans & Request Pricing," you must create a Client account (email + password, or a supported single sign-on option) and affirmatively check the box accepting these Terms and the Privacy Policy. Your acceptance is recorded with a timestamp and is tied to your account. Each Client account receives a personal dashboard where you can view your submitted project intakes, current status (e.g., Pending, Reviewing, Awaiting Payment, Pricing Sent, Completed, Declined), uploaded files, quote details, and related communications. You are responsible for keeping your dashboard credentials secure and for all submissions made under your account.

Admin moderation of accounts. Authorized Admins may, at their discretion and without notice, hide, unhide, suspend, or permanently delete any Client, project intake, or Estimator account or record — including associated uploaded files — for reasons such as inactivity, duplication, suspected fraud, abuse, low quality, non-payment, or violation of these Terms. Hidden records are not visible to Clients in their dashboard. Deletion is permanent and may not be recoverable. Where we are legally required to retain certain records (e.g., tax, payment, or audit data), we may retain them in restricted backend systems even after a visible record is removed.

4. Estimator obligations

  • You will only accept projects that match trades and estimating software you actually have access to and are competent to perform.
  • You will keep your software list, availability, and contact info current. Any change must be updated immediately in your profile.
  • You acknowledge that material changes to your profile (such as trades, states served, software, payout details, mailing address, or identity documents) will automatically move your account back into a "pending review" state until an Admin re-approves it. During that period you may not receive new project offers. Toggling your availability on or off does not trigger a re-review and takes effect immediately.
  • You will deliver completed estimates by the agreed deadline using the agreed software, file format, and scope.
  • You will not misrepresent your experience, certifications, or work product, and will not subcontract a project without prior written consent from Pinch Estimating.
  • You acknowledge that the first Estimator to accept a dispatched project locks that project, and other open offers for the same project will automatically close.
  • You acknowledge that Pinch Estimating assigns each Estimator a performance tier (Bronze, Silver, Gold, or Platinum) calculated from completed jobs, average rating, and on-time percentage. Higher tiers may receive dispatched project offers earlier than lower tiers. Tiers are recalculated automatically as your performance metrics change and may go up or down over time.
  • You acknowledge that until you complete all required signup and profile fields (including full name, phone, trades, states served, years of experience, software, bio, mailing address, and W-9 status), your account will be flagged as "Incomplete Signup" and you will not receive dispatched project offers. We may send you automated reminders (in-app and via email, and in the future via SMS or other channels) prompting you to finish your profile, and Admins may also send manual reminders. You can opt out of non-essential reminders by completing your profile or contacting support.

5. Optional estimating software seat

For Estimators who do not already own estimating software, Pinch Estimating offers an optional shared seat in the same software our internal team uses for $120 per month. If you opt in, you authorize us (or our billing processor) to automatically charge your payment method on a recurring monthly basis until you cancel. You may cancel at any time; cancellation takes effect at the end of the then-current billing period and we do not provide pro-rated refunds for partial months. Seat access is non-transferable and may be revoked if your Pinch Estimating account is suspended or terminated.

6. Payments

Client payments. After we review your submission, you will receive an email containing the flat-fee price, turnaround, and a secure payment link generated by Stripe. By clicking the link and completing checkout, you authorize Stripe to charge your selected payment method for the quoted amount. No work is dispatched and no estimator is assigned until Stripe confirms payment. Card details are processed by Stripe and are not stored on our servers. Stripe's then-current terms, privacy policy, and supported payment methods apply to client checkouts. Unless otherwise stated in writing, all flat-fee quotes are non-refundable once an estimator has been dispatched and has begun work; revisions and change orders are quoted separately.

Project status notifications. When the status of one of your project intakes or estimator assignments changes (for example to Reviewing, Pricing Sent, Awaiting Payment, In Progress, Completed, or Declined), the Service will automatically send a transactional email to the account holder on file. These status emails are necessary to operate the Service and you may continue to receive them while your account is active, even if you have opted out of marketing messages.

Estimator payouts. Project payments to Estimators are processed through third-party payment providers, separately from Client billing. Regardless of payout method or country, no payment will be released to an Estimator for completed project work until a valid, signed tax form is on file — Form W-9 for U.S. persons or Form W-8BEN (or other applicable IRS form) for non-U.S. individuals. Payouts for completed work may be held indefinitely until the required tax form is uploaded and accepted by an Admin. Estimators located inside the United States are paid through our standard U.S. payment methods (currently including Found). Estimators located outside the United States ("International Contractors") are paid directly through Wise. Payment status in the Service may show as "Awaiting Estimate Docs," "Scheduled in Found," or "Paid Through Found." Final settlement, timing, payment method, tax reporting (e.g., 1099s), and chargeback handling are governed by the applicable third-party provider's terms and by applicable tax law.

International contractor payments. International contractor payments may be processed through Wise. Contractors are solely responsible for ensuring that their Wise account information (including name, email, country, and receiving currency details) is accurate, current, and complete. Currency conversion, foreign exchange rates, and international transfer processing fees may apply depending on the contractor's country and selected receiving method, and are governed by Wise's then-current terms and pricing. Pinch Estimating is not responsible for delays, losses, or fees resulting from inaccurate Wise account information or from Wise's own processing.

Estimators are independent contractors, not employees, partners, joint venturers, or agents of Pinch Estimating, and are responsible for their own taxes, insurance, and business expenses.

7. Identity verification and tax documentation

As a 1099 independent contractor, you are required to upload identity and tax documentation through your Estimator profile before receiving project offers or payments. Required documents depend on your country and region and may include:

  • Government-issued photo ID (front and back): for U.S.-based estimators this is typically a Driver's License or U.S. Passport; for international contractors, the Service suggests the appropriate national ID for your country (for example Aadhaar in India, CNIC in Pakistan, INE in Mexico, PhilSys in the Philippines, or an equivalent national/photo ID).
  • Tax form: Form W-9 for U.S. persons, Form W-8BEN for non-U.S. individuals, or another applicable IRS form. Blank forms are linked from within your profile.

You represent that all identity and tax documents you upload are authentic, current, belong to you, and are accurate. You authorize Pinch Estimating and authorized Admins to view, store, and use these documents for the purposes of identity verification, contractor onboarding, tax reporting, fraud prevention, and compliance with applicable law. Documents are stored in a private storage bucket with role-based access controls; Admin access is logged. You may request correction or deletion of these documents in accordance with the Privacy Policy, subject to our legal retention obligations.

8. Intellectual property

The Service, including its software, design, branding, and content, is owned by Tool Tackle LLC and its licensors and is protected by U.S. and international IP laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain ownership of estimates and deliverables you create, but you grant Pinch Estimating and the applicable end client a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, distribute, and create derivative works from those deliverables for purposes of completing, delivering, and supporting the underlying construction project.

9. Acceptable use

You agree not to:

  • Use the Service to violate any law or third-party right.
  • Upload malware, scrape the Service, bypass access controls, or attack our infrastructure.
  • Misrepresent your identity, qualifications, or affiliation.
  • Upload identity or tax documents that are not your own, are forged, altered, or otherwise fraudulent.
  • Solicit Estimators or end clients off-platform to circumvent fees.
  • Share login credentials or resell access to the Service.

10. Confidentiality

Project documents, plans, takeoff data, pricing, and client information made available through the Service are confidential. You will use them solely to perform your obligations under the Service and will not disclose them to any third party without our prior written consent, except as required by law.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. Pinch Estimating does not guarantee that the Service will be uninterrupted, secure, or error-free, or that any estimate produced through the Service will be accurate or complete.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOL TACKLE LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

13. Indemnification

You will defend, indemnify, and hold harmless Tool Tackle LLC and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your breach of these Terms, (c) your violation of any law or third-party right, or (d) any estimate, deliverable, or representation you provide.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice or cause. Upon termination, your right to use the Service will immediately cease, but Sections 6–13, 15, and 16 will survive.

15. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Pennsylvania, and you consent to personal jurisdiction and venue there. You and Pinch Estimating each waive any right to a jury trial.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you by email or through the Service. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
